1. Acceptance of Terms

1.1 These Terms and Conditions (“Terms”) govern your access to and use of the Get Badge platform (“Get Badge,” “we,” “us,” or “our”), including any related websites, services, and applications (collectively, the “Platform”).
1.2 By creating an account, hosting an event, registering for an event, or purchasing a ticket through the Platform, you (“User,” “you,” or “your”) agree to be bound by these Terms.
1.3 If you do not agree to these Terms, you must not use the Platform.

2. Definitions

For purposes of these Terms:
(a) Organizer means any individual or entity that creates an account to host one or more events through the Platform.
(b) Attendee means an individual who registers for a free event hosted by an Organizer through the Platform.
(c) Buyer means an individual who purchases one or more tickets to an event through the Platform.
(d) Event means any activity, gathering, or function organized and hosted by an Organizer using the Platform.
(e) Processing Fees means the fees charged by Get Badge in accordance with the pricing model selected by the Organizer.
(f) Credit Card Fees means transaction fees charged by Stripe or another payment processor.

3. Pricing Models for Organizers

3.1 Organizers must select one of the following pricing models at the time of event creation:
(a) Prepaid Model – Organizer pays Get Badge in advance. No Processing Fees apply. Credit Card Fees charged by Stripe still apply. Free events incur no fees.
(b) Per Ticket Model – A Processing Fee is deducted from each ticket sold, in addition to Credit Card Fees. Free events are not permitted.
(c) Per Buyer Model – A Processing Fee is added to the cost paid by each Buyer. The Organizer only pays Credit Card Fees. Processing Fees apply even to free events.

3.2 The chosen pricing model applies for the duration of the event and cannot be changed once ticket sales or registrations have commenced.

4. Account Creation and Eligibility (Organizers)

4.1 You must be at least eighteen (18) years of age and legally authorized to act on behalf of the entity hosting the event.
4.2 You agree to provide accurate, complete, and current information during account registration and to update such information promptly.
4.3 You are solely responsible for maintaining the confidentiality of your login credentials.
4.4 We reserve the right to suspend or terminate accounts for violations of these Terms, suspected fraud, or illegal activity.

5. Event Creation Rules

5.1 Organizers must ensure that event descriptions, dates, locations, pricing, and all related details are accurate and truthful.
5.2 Organizers are solely responsible for:
(a) Compliance with applicable laws, permits, licenses, and insurance requirements;
(b) Collection and payment of any applicable taxes; and
(c) The safety, conduct, and quality of the event.
5.3 Get Badge reserves the right to reject or remove events at its sole discretion.

6. Cancellation Policy

6.1 Organizer Responsibility – If you cancel an event, you must promptly:
(a) Notify all registered Attendees and Buyers; and
(b) Arrange refunds in accordance with your stated refund policy and applicable law.
6.2 Get Badge is not responsible for costs incurred by Attendees or Buyers, including but not limited to travel or accommodation expenses.
6.3 If event funds remain in our possession at the time of cancellation, we may, at our discretion, assist in issuing refunds.

7. Payout Terms

7.1 Organizers are eligible to request payouts five (5) calendar days after the official end date of the event.
7.2 All payouts are processed via Stripe and are subject to Stripe’s processing timelines and policies.
7.3 We may withhold payouts if:
(a) There is an unresolved dispute;
(b) Fraud or policy violations are suspected; or
(c) There are pending refund obligations.

8. Attendee Registration Terms (Free Events)

8.1 Registration does not guarantee admission; Organizers may impose capacity limits.
8.2 Attendees must provide accurate and complete registration information.
8.3 Get Badge and Organizers are not liable for injury, loss, or damages arising from event attendance.

9. Ticket Purchase Terms (Paid Events)

9.1 Ticket purchases are binding once confirmed and processed.
9.2 Unless otherwise stated in the Organizer’s refund policy, all sales are final.
9.3 Ticket prices may include applicable Processing Fees (for Per Buyer Model events).
9.4 Get Badge does not guarantee that any event will take place and shall not be liable for event cancellations.

10. Liability Waiver and Indemnification

10.1 You acknowledge that Get Badge is not the organizer, operator, or producer of any event.
10.2 To the fullest extent permitted by law, you release, discharge, and hold harmless Get Badge, its officers, employees, agents, and affiliates from any and all claims, damages, losses, liabilities, and expenses arising from:
(a) Attendance at or participation in any event;
(b) Hosting or organizing any event; or
(c) Use of the Platform.
10.3 You agree to indemnify, defend, and hold harmless Get Badge against any claims made by third parties related to your use of the Platform.

11. Prohibited Activities

You may not use the Platform to:
(a) Host or promote illegal activities;
(b) Sell counterfeit or fraudulent tickets;
(c) Infringe intellectual property rights;
(d) Engage in harassment, abuse, or discrimination.

12. Dispute Resolution

12.1 Disputes between Organizers and Attendees/Buyers must be resolved directly between those parties.
12.2 Get Badge may, but is not obligated to, assist in dispute resolution.

13. Termination

We may suspend or terminate your account and access to the Platform at any time, with or without notice, for violations of these Terms, legal compliance, or other reasons in our sole discretion.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Puerto Rico, without regard to its conflict of laws provisions.
